Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AsPeach desktop application and website (collectively, the "Service") provided by AsPeach ("we", "our", or "us"). By downloading, installing, or using AsPeach, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 13 years of age (or 16 in the EEA), and that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

2. Description of Service

AsPeach is a voice-to-text dictation application for macOS that processes speech locally on your device. The Service includes:

  • Free Tier: Basic voice-to-text functionality with daily transcription limits, small Whisper model, and local-only features.
  • Pro Tier: Unlimited transcriptions, all Whisper models, advanced features (context-aware output, AI auto-edit, command mode, whisper mode, custom dictionary, text snippets), and cross-device sync.

3. Account Registration

To access Pro features, you must sign in using a Google account. You are responsible for:

  • Maintaining the security of your account credentials.
  • All activity that occurs under your account.
  • Notifying us immediately of any unauthorized use of your account.

Accounts are personal and non-transferable. You may not share your account credentials with others. The Service enforces a one-active-device-at-a-time policy. Logging in on a new device will terminate the session on the previous device.

4. Subscriptions and Payments

4.1 Billing

Pro subscriptions are billed on a recurring monthly basis through Lemon Squeezy, our payment processor. By subscribing, you authorize recurring charges to your chosen payment method.

4.2 Pricing

Current pricing is displayed on our website. We reserve the right to change pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

4.3 Cancellation

You may cancel your subscription at any time. Upon cancellation:

  • You retain access to Pro features until the end of your current billing period.
  • After the billing period ends, your account reverts to the Free tier.
  • Your sync data is retained for 30 days after subscription end, then permanently deleted.
  • Local data on your device is unaffected by cancellation.

4.4 Refunds

We offer a full refund within 14 days of your initial purchase if you are not satisfied with the Service. To request a refund, contact support@aspeach.com. Refunds after the 14-day period are at our sole discretion.

5. License and Intellectual Property

5.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the AsPeach application on macOS devices you own or control, solely for personal or internal business purposes.

5.2 Restrictions

You may not:

  • Copy, modify, distribute, sell, or lease any part of the Service.
  • Reverse engineer, decompile, or disassemble the application.
  • Circumvent or disable any security, authentication, or licensing mechanisms.
  • Use the Service to develop a competing product or service.
  • Remove any copyright, trademark, or proprietary notices.
  • Use automated means to access the Service (bots, scrapers, etc.).
  • Share, resell, or sublicense your account or subscription.

5.3 Ownership

The Service, including all software, designs, trademarks, and content, is owned by AsPeach or its licensors. These Terms do not grant you any ownership rights. The Whisper AI model is used under the MIT License from OpenAI.

6. Your Content

You retain full ownership of all content you create using AsPeach, including transcriptions, dictionaries, snippets, and any other text generated through the Service. We claim no ownership of your content.

If you use Pro sync, you grant us a limited license to store, transmit, and process your sync data solely for the purpose of providing the synchronization service. This license terminates when you delete your data or account.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Generate, store, or transmit illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable content.
  • Infringe on intellectual property rights of others.
  • Attempt to gain unauthorized access to any systems or networks.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Engage in any activity that could damage, disable, or impair the Service.

8. Third-Party Services

The Service integrates with third-party services including Google (authentication) and Lemon Squeezy (payments). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. We disclaim all warranties, including but not limited to:

  • Merchantability and fitness for a particular purpose.
  • That the Service will be uninterrupted, error-free, or secure.
  • That transcription results will be 100% accurate.
  • That the Service will be compatible with all hardware or software configurations.

Voice recognition accuracy depends on various factors including microphone quality, ambient noise, accent, and speech clarity. AsPeach does not guarantee any specific level of transcription accuracy.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ASPEACH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, whether based on warranty, contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim, or $50, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless AsPeach and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any rights of a third party.
  • Any content you create or transmit using the Service.

12. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

13. Modifications to Terms

We may revise these Terms from time to time. Material changes will be communicated through the Service or via email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms. Upon termination:

  • Your license to use the Service is immediately revoked.
  • You must cease all use of the application.
  • We may delete your account data after 30 days.
  • Provisions of these Terms that by their nature should survive (including Disclaimers, Limitation of Liability, and Indemnification) will remain in effect.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and AsPeach regarding the Service, superseding any prior agreements.
